Apteryx Imaging Inc. Reminds Securityholders of Upcoming Voting Deadline in Connection With Annual General and Special Meeting
VANCOUVER, BC / ACCESSWIRE / July 22, 2020 / Apteryx Imaging Inc. (TSXV:XRAY)(OTCQB:APTEF)(FRA:XRAY) (“Apteryx” or the “Company“) reminds all securityholders of the upcoming annual general and special meeting of securityholders (the “Meeting“) to be held on August 5, 2020 to approve, in addition to annual business, including the election of directors and appointment of an auditor, the proposed plan of arrangement, pursuant to which a PDDS Buyer, LLC (“Planet DDS“) subsidiary will acquire all of the Company’s outstanding common and preferred shares for CAD$0.65 per share in an all-cash transaction (the “Transaction“).
It has come to the Company’s attention that despite the management information circular (the “Circular“) and related materials for the Meeting (collectively, the “Meeting Materials“) being mailed in the normal course, the Meeting Materials for certain U.S. beneficial holders were held up at U.S. customs but have since been released and, as a result, certain U.S. beneficial holders will likely experience a delay in receipt of the Meeting Materials. As such, the Company strongly recommends that U.S. securityholders contact their brokers for assistance or go to https://apteryx.com/agm to download the Meeting Materials directly. The Company has also filed the Meeting Materials under its profile on SEDAR, including the form of proxies and voting instruction form. The voting deadline for securityholders to submit their proxies or voting instructions is 10:00 am (Pacific time) on July 31, 2020.
This year, in light of the ongoing COVID-19 pandemic, the Meeting will be held by way of virtual only format whereby securityholders may participate in the Meeting remotely. The Meeting is scheduled to begin at 10:00 a.m. (Vancouver time) on August 5, 2020. Securityholders of record as of the close of business on June 30, 2020 are entitled to receive notice of and to vote at the Meeting.
The Company welcomes all registered securityholders and duly appointed proxyholders who wish to participate in the online Meeting to do so by joining the live webcast available at https://web.lumiagm.com/293064344. As usual, only duly appointed proxyholders will be allowed to vote and intervene during the live Meeting.
