FRMO Corp. Reports Indirect Participation in Merger Plan Between MGEX and Miami International Holdings

WHITE PLAINS, N.Y.–(BUSINESS WIRE)–On August 14, 2020, The Minneapolis Grain Exchange (“MGEX”) announced an agreement to demutualize the exchange and subsequently be acquired by Miami International Holdings (“MIH”), parent company of the MIAX Exchange Group. MGEX is the largest position in South LaSalle Partners L.P., which is a strategic investment of FRMO Corp. and one of its largest investments. Likewise, MIH is a significant holding of FRMO Corp. The transaction, which is expected to close in late 2020, has been approved by the Board of Directors of each company and is subject to, among other customary closing conditions, MGEX membership approval. The transaction joins strategically complementary faculties. MIH, which is primarily an options exchange, with over 10% market share in U.S. equity options, is widely considered one of the most technologically advanced exchanges in the U.S. Among other recent important developments, early last year MIAX established the first alternative to the VIX, the MIAX SPIKES volatility futures contract. MGEX, in addition to its strength in agricultural commodity futures contracts and rapid growth, is a Designated Contract Market (DCM) and Derivatives Clearing Organization (DCO), which allows it to list, trade, and clear futures products. The combination of each firm’s respective strengths should vastly increase their joint scope for market presence and product development.
